2. Acceptance of Terms
By using our services, submitting payment, enabling integrations, or accessing any delivered materials, you confirm that:
- You are at least 18 years old.
- You have the authority to enter into a binding agreement.
- You agree to comply with these Terms.
3. Scope of Services
Digilatics provides digital marketing services tailored to your business needs.
Service scope, deliverables, and timelines are defined in:
- Service agreements
- Proposals
- Onboarding documents
- Contracts
- Written communication between the parties
Digilatics reserves the right to make updates or improvements to its services at any time.
4. No Guaranteed Results
While we use data, strategy, and industry expertise to drive performance, we do not guarantee specific outcomes, including but not limited to:
- Number of leads
- Rankings
- Revenue
- Sales
- Conversions
- Traffic growth
- Market dominance
Marketing results may vary based on factors outside our control, including market conditions, client responsiveness, competition, client systems, and economic shifts.
5. Client Responsibilities
To ensure effective service delivery, you agree to:
- Provide accurate and timely information
- Grant necessary access to platforms (Google Ads, GBP, website, CRM, etc.)
- Respond to communication within reasonable timelines
- Review deliverables promptly
- Maintain your own business compliance and licensing
- Ensure staff follow proper processes (ex: answering calls, quoting leads, handling inbound requests)
Digilatics is not responsible for performance issues caused by:
- Inaccurate or delayed information
- Broken websites or hosting issues
- Client-side operational errors
- Poor lead handling, quoting, or follow-up
- Inadequate budgets, limitations, or platform restrictions
6. Payment, Fees & Billing
Unless otherwise stated in your service agreement:
- All invoices are due on receipt.
- Monthly retainers must be paid in advance.
- Late payments may result in service suspension or termination.
- No refunds are provided for services already rendered.
- Fees for third-party tools (ex: ad spend) are the client’s responsibility.
Failure to pay may result in:
- Late fees
- Account suspension
- Termination of services
- Withholding of access to deliverables, dashboards, or files
7. Cancellations & Termination
Either party may terminate the agreement with written notice as outlined in the service contract.
Upon termination:
- All outstanding invoices must be paid
- Access to dashboards, reporting, or integrated tools may be revoked
- Work delivered up to the termination date remains billable
- No refunds are issued for partial months or completed work
Digilatics may terminate services immediately if:
- Payments are missed
- Fraud or platform misuse occurs
- Terms are violated
- Abusive or inappropriate behavior is directed toward staff
8. Intellectual Property
Unless otherwise stated in writing:
- All strategies, frameworks, templates, reports, and proprietary tools belong to Digilatics.
- Clients may use delivered materials for their own business only.
- Redistribution, resale, or duplication is prohibited.
Website files, ad creatives, and branding assets created under paid engagements may be transferred upon request, subject to full payment.
9. Data, Integrations & Access
If you enable third-party integrations or grant platform access, you authorize Digilatics to:
- View, analyze, and process data to deliver services
- Use data for reporting, optimization, and performance insights
You remain the data controller; Digilatics acts as the data processor.
We do not sell or share your data with external third parties.
10. Confidentiality
Both parties agree to keep confidential:
- Proprietary methods
- Business information
- Strategies
- Credentials
- Non-public data
Confidentiality obligations survive termination of services.
11. Limitation of Liability
To the maximum extent permitted by law, Digilatics is not liable for:
- Loss of revenue
- Loss of data
- Loss of reputation
- Platform outages
- Third-party tool failures
- Delayed results
- Client-side operational issues
Liability, if applicable, is limited to the amount paid in the last 30 days.
12. Disclaimer
Digilatics provides marketing guidance, insights, and strategies based on best practices, data, and experience.
However, we cannot control:
- Consumer behavior
- Algorithm changes
- Platform bans
- Client-side lead handling
- Industry shifts
- Seasonality
- Global or regional events
Therefore, we make no warranties beyond those explicitly stated in writing.
13. Modifications to Terms
We may update these Terms from time to time.
When updated, the new version will replace the previous version and will include a new effective date.
Continued use of Digilatics services indicates acceptance of the updated Terms.
14. Governing Law
We comply with all applicable U.S. federal and state laws and regulations relevant to our policies.
